1. Application and Modifications of General Terms and Conditions of Sale
Our General Terms and Conditions of Sale apply exclusively to all sales between CVL LUMINAIRES and its professional clients.
CVL LUMINAIRES creates, manufactures, and sells lighting products and accessories. Consequently, placing an order implies the customer’s full acceptance of these General Terms and Conditions of Sale, excluding any other information, such as advertisements, mailings, or catalogs published by CVL LUMINAIRES, which are for reference only.
Unless formally accepted in writing by the vendor, no special condition may prevail over these terms. In the absence of express acceptance, no contrary condition may be raised in objection by the purchaser, regardless of when it was brought to their knowledge.
Failure by CVL LUMINAIRES to enforce any clause at a given time shall not be interpreted as a waiver of its right to enforce it later. CVL LUMINAIRES reserves the right to modify these General Terms and Conditions of Sale at any time.
2. Products
Products refer to lighting and accessories.
The photos displayed in catalogs, on the website, and in any other documentation are non-contractual. Characteristics, dimensions, and technical specifications provided in documentation are for informational purposes only.
CVL LUMINAIRES reserves the right to modify products as needed, provided that their fundamental characteristics remain unchanged.
3. Orders
All orders must be sent in writing or by email. Clients will receive an order confirmation within 48 hours. Orders are considered final only when confirmed in writing by the vendor through an acknowledgment of receipt.
Orders placed through representatives or employees are only binding upon written confirmation from CVL LUMINAIRES. Order benefits are strictly personal to the purchaser and may not be transferred without the vendor’s agreement.
Any modifications or cancellations must be submitted in writing, confirmed by CVL LUMINAIRES, and requested before the products enter production.
4. Prices
4.1. Price Determination
In compliance with the French Commercial Code (Article L441-7), the agreed prices consider special conditions and obligations promoting the trade relationship, including:
- Trade discounts / Price differentiation
- Reductions applied in return for specific commitments
4.2. Currency and Taxes
All prices are quoted in Euros (€), exclusive of VAT, based on the rates applicable at the time of order placement. Prices may be modified at any time, with reasonable prior notice. However, CVL LUMINAIRES guarantees that the price charged to the Client will be the one in effect at the time of order confirmation.
5. Payment
5.1. Payment Terms
A proforma invoice is issued as order confirmation. The final invoice is sent via email upon shipment, with a paper copy available upon request.
Full payment must be made in Euros (€) via SWIFT (bank transfer) before dispatch. Any exchange rate loss and bank fees are at the Client’s expense. No discount is granted for early payment.
5.2. Deposit for Large or Custom Orders
For orders exceeding €5000 or any order containing custom products, a 50% deposit is required upon order confirmation. The remaining balance must be paid before shipment.
6. Delivery Terms
The delivery timeline is stated in the order confirmation. Estimated delivery dates are indicative only and depend on order confirmation by CVL LUMINAIRES.
CVL LUMINAIRES is not liable for any delivery delays, omissions, or modifications. Delays shall not justify damages, deductions, or order cancellations.
6.1. Force Majeure
The following events are considered force majeure, releasing CVL LUMINAIRES from its delivery obligations:
- War, riots, or fires
- Strikes or accidents
- Public regulations
- Any event beyond CVL LUMINAIRES’ control
7. Reception and Replacement of Products
Upon delivery, the purchaser must inspect the products and notify CVL LUMINAIRES in writing within 48 hours of any:
- Visible defects
- Non-compliance with the order
- Discrepancies in the delivery note
Without prior agreement, returned goods will be held at the purchaser’s expense. In case of a validated defect, CVL LUMINAIRES may offer a free replacement or refund, excluding further compensation.
8. Guarantee of Manifest and Concealed Defects
8.1. Visible Defects
CVL LUMINAIRES does not warrant visible defects that were not reported by the Client under the reception conditions described in Article 7.
8.2. Hidden Defects
In accordance with Article 1641 of the French Civil Code, CVL LUMINAIRES guarantees against hidden defects that make products unfit for their intended use.
Damages caused by improper usage, maintenance, or storage are not covered under this warranty.
9. Reservation of Ownership
Until full payment is received, all goods remain the property of CVL LUMINAIRES (Law No. 80-335, dated 12.05.1980). In case of non-payment, the vendor may reclaim the goods at the purchaser’s expense.
The buyer assumes responsibility for risks of loss, theft, or damage from delivery until ownership transfer.
10. Resale of Products & Use of Images
CVL LUMINAIRES authorizes the resale of its products under the following conditions:
- The Client must adhere to CVL LUMINAIRES’ charter and guidelines regarding the use of product images.
- Products cannot be sold online without prior written approval.
- Any authorized online sales must comply with the brand’s image guidelines.
11. Intellectual Property
All CVL LUMINAIRES products are original creations protected under intellectual property laws. The brand names, trademarks, logos, and product images remain the exclusive property of CVL LUMINAIRES.
Clients are granted a non-transferable right to use product-related images for marketing and sales within their professional network. These materials must not be altered or used outside of their intended purpose.
12. Competence & Applicable Law
The applicable law is French law. Any disputes relating to order formation, execution, or any litigation shall be handled by the Commercial Court of the CVL LUMINAIRES headquarters.
If any clause in these terms is deemed invalid by a court, the remaining clauses shall remain fully enforceable.
